CRITICAL LIMITATION: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ACCESS TO THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TEN UNITED STATES DOLLARS ($10.00 USD). THIS LIMITATION APPLIES TO ALL CLAIMS COLLECTIVELY, INCLUDING ANY CLAIMS BROUGHT AS PART OF A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION AGAINST US.

7. User Verification and Professional Consultation Requirements

By using our calculators, you expressly acknowledge and agree to the following critical responsibilities:

8. Indemnification

You agree to defend, indemnify, and hold harmless TheCalcHub, its licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to:

14. Dispute Resolution and Arbitration

To minimize costs and expedite resolution of any disputes, you and TheCalcHub agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or relating to these Terms through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

A. Arbitration Requirements:

  • Arbitration will be conducted in Helsinki, Finland, or another mutually agreed location
  • The arbitrator's decision will be final and binding on all parties
  • You waive any right to participate in class actions or representative actions
  • You waive any right to a jury trial for any claims covered by this agreement
  • The prevailing party in arbitration may recover reasonable attorneys' fees and costs

B. Class Action Waiver:

YOU EXPRESSLY WAIVE ANY ABILITY TO BRING CLAIMS AGAINST US AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable, then the entirety of the arbitration agreement will be null and void, and the exclusive jurisdiction and venue provisions below will apply.

15. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the courts located in Helsinki, Finland. You irrevocably consent to the exclusive jurisdiction and venue of these courts for any litigation arising from these Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Entire Agreement

These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.
